This document serves to act as a contract between the client and our agency. It details the scope of the project, pricing, feedback rounds, and other terms that ensure that all parties are in complete agreement for this engagement.
A one-time strategic investment to lay the groundwork for social media expansion — two connected deliverables, not a retainer.
Sonolusso has strong message-market fit — 35 Meta campaigns over 18 months show 5.9–10.1% CTR on sleep-hack content, well above category benchmarks. But that traction is hitting a wall: the current audience skews older than desired, there's no TikTok presence, and the Instagram profile isn't optimized for the demographic Sonolusso wants to reach next.
This project covers two connected deliverables: a strategy document (which includes the audit) that defines how to target and market to a new demographic, and two short-form videos that put the full strategic understanding into pieces of content ready to post.
Kenzie has produced viral content in the skincare category — a product showcase video for a lip balm brand hit 50,000 likes and 300K+ views. She grew social accounts from ~40 views per post to 300+ in two weeks using organic-only content strategies at her current role. She holds a Bachelor of Science in Digital Marketing & Social Media from Johnson & Wales University and has managed 4–5 Instagram/social media accounts across brands. She understands TikTok trend mechanics and Gen Z content preferences, which is where Sonolusso's next demographic expansion needs to reach.

A comprehensive social media strategy (including audit) focused on how Sonolusso can engage a new demographic — younger women, college-age through early professional — alongside its core 38–68 audience. The strategy document incorporates a full Instagram audit, so the strategic direction and the current-state findings land in a single deliverable.
Two short-form videos at $100 each, with strategy informed by the research and findings from the strategy document (Phase 01). Kenzie selects the best format based on the strategy findings.
Following project completion, Kenzie can transition into ongoing monthly social media management covering Instagram and TikTok. The strategy document and audit from this project serve as the foundation for the ongoing engagement.

Phases are sequential — each phase begins after the prior phase is approved. If feedback rounds extend beyond the stated timelines, the overall project duration will adjust accordingly.

Pricing is valid for 60 days from the document date. If elements are added to or removed from the scope, pricing may be affected.

Client agrees to pay Vendor the amount(s) set for in the statement of work. Reimbursable items will be pre-approved by Client and due upon receipt of invoice. Vendor is entitled to all costs and attorney fees incurred in collecting payment under this Agreement.
The Parties shall defend, indemnify, and hold the other Party harmless for any claim or proceeding arising out of or related to any claim based upon the other Party's wrongful acts or omissions in connection with these terms and conditions and statement of work.
Client shall be responsible for making additional payments for changes requested to the original assignment and agreed to in writing. All changes to scope and price must be agreed upon in writing prior to execution.
Either party may terminate this assignment by providing not less than thirty (30) days written notice. Ownership of all copyrights and original artwork shall be transferred to Client for work completed up to the date of cancellation. Client shall pay for all work and expenses incurred up to the date of cancellation.
Client shall reimburse Vendor for all reasonable expenses. Expenses greater than $250 must be approved by Client in writing.
The terms and provisions of this Agreement are severable. Should any term be declared void or unenforceable, it shall not affect any other term of this Agreement.
All selected final materials produced by Vendor specifically for Client will be owned by Client upon payment. All work shall be considered "work for hire."
Vendor retains the nonexclusive, perpetual and worldwide right to display designs in Vendor's portfolio and website, solely for promoting Vendor's work.
All information relating to Client that is known to be confidential or proprietary shall be held in confidence by Vendor.
Vendor warrants that the work assigned hereunder is original and has not been previously published, or that consent to use has been obtained.
Client agrees that it shall not hold Vendor liable for any incidental or consequential damages arising from failure to perform, unless caused by intentional or negligent acts.
In the event of a breach, Vendor shall be entitled to injunctive relief and recovery of attorneys fees and damages.
Any disputes shall be submitted to binding arbitration pursuant to the rules of the American Arbitration Association. The non-prevailing party shall pay all arbitration and court costs.
Client agrees that Vendor can install Google Analytics tracking to monitor success of web-related projects. Client reserves the right to revoke this right at any time.
Both parties shall hold and maintain all confidential information in strictest confidence and shall not disclose it without prior written approval.
During the term of this Agreement and for two years after termination, Client will not solicit or hire any employee or contract laborer of Vendor.
